But in practice, they often remain too rigid to meet the concrete needs of associates. This is why many entrepreneurs and investors choose to supplement the statutes with a shareholders\u2019 agreement. Although optional, this contractual document, based on the principle of contractual freedom enshrined in the Dahir of Obligations and Contracts, plays a strategic role in the governance of a company in Morocco.<\/p>\n<p><span style=\"font-weight: 400;\">The associates\u00ab agreement helps to anticipate delicate situations, avoid deadlocks and secure relations between partners. Its strength lies in its confidentiality, since it is not filed with the commercial register and is not subject to publicity, unlike the articles of association. It reflects a genuine \u00bbbehind-the-scenes\" agreement between partners, often more precise and pragmatic.<\/span><\/p>\n<p>Among the most widespread provisions, we first find clauses linked to <a href=\"https:\/\/www.auditia.ma\/en\/legal\/changes-to-the-articles-of-association-capital-transactions\/\"><strong data-start=\"1088\" data-end=\"1112\">transfer of titles<\/strong><\/a>.<\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The pre-emption clause, for example, gives existing associates priority to buy shares that a partner wishes to sell.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The approval clause, on the other hand, makes the entry of a new partner subject to the prior agreement of the others, thus preventing the arrival of undesirable partners.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Conversely, the joint exit clause, often referred to as the <\/span><i><span style=\"font-weight: 400;\">tag along<\/span><\/i><span style=\"font-weight: 400;\">, protects minority shareholders by allowing them to sell their shares on the same terms as a majority shareholder selling his or her stake.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">For its part, the forced exit clause, or <\/span><i><span style=\"font-weight: 400;\">drag along<\/span><\/i><span style=\"font-weight: 400;\">, gives majority shareholders the option of forcing the sale of minority stakes as part of a global divestment operation, in order to facilitate the arrival of a strategic investor.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The pact also contains <a href=\"https:\/\/www.auditia.ma\/en\/board\/auditing-and-improving-the-reliability-of-internal-control\/\"><strong data-start=\"1978\" data-end=\"2016\">governance clauses<\/strong><\/a>. It can set veto rights over certain strategic decisions, define the terms of appointment of managers or organize the distribution of positions within the board of directors. These mechanisms make it possible to clarify the balance of powers and protect the interests of each partner.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Another type of clause concerns capital stability. Partners may agree to a non-transferability clause, which prohibits the sale of shares for a specified period, thus guaranteeing the long-term viability of the project from the outset. Similarly, a non-competition clause prevents a partner from setting up or joining a competing company, thus protecting the joint venture's business.<\/span><\/p>\n<p>Finally, certain clauses target financial management and company strategy. The pact may provide for dividend distribution rules, define growth objectives or set precise terms of <strong data-start=\"3004\" data-end=\"3047\"><a href=\"https:\/\/www.auditia.ma\/en\/board\/search-for-financing\/\">future financing<\/a><\/strong>. In the case of start-ups, it is common to provide clauses linked to the entry of new investors, in order to regulate the <a href=\"https:\/\/www.auditia.ma\/en\/transactions\/business-valuation\/\"><strong data-start=\"3235\" data-end=\"3258\">dilution of capital<\/strong><\/a>\u00a0and protect the founders.<\/p>\n<p><span style=\"font-weight: 400;\">The advantage of a partnership agreement is that it provides a flexible, adaptable and protective framework.
